1.Confidentiality & Non-Disclosure:
• All training content, instructional modules, test material, and related intellectual property made accessible through this Program are strictly confidential and proprietary to the Company.
• You shall not reproduce, distribute, copy, screen-record or screen capture, share, forward, or disclose any part of the content, format, or structure of the Program, whether orally or digitally, to any third party, including former employees or industry competitors.
• Any unauthorized disclosure, intentional or negligent, will be treated as a grave breach of employment obligations and will invite immediate disciplinary action, including termination and legal proceedings under civil and criminal law.
2. Digital Monitoring and Audit:
•. The Company reserves the right to digitally log, monitor, audit, and analyze your activities within the Program in real-time or post-facto, including login timestamps, module access patterns, download activity, browser behavior, and failure patterns.
• Any attempt to manipulate test outcomes, copy source code, take screenshots, or simulate user activity will be considered academic fraud and result in strict penal action.
3. Test Attempts & Failure Policy:
• Each candidate is allotted a maximum of three (3) attempts to clear any test associated with the Program.
• Upon the third consecutive failure of any test within the Program, the system shall automatically generate and dispatch a formal notification to the employee’s registered official email ID, outlining the failure record and consequent ineligibility to proceed further. Simultaneously, a detailed analytical report comprising test scores, attempt logs, module access patterns, and relevant behavioral metrics shall be transmitted to the Human Resources Department, Reporting Manager, Learning & Development Head, and other designated authorities for internal evaluation. Based on the failure history and overall conduct, the Company reserves the right to take any action deemed appropriate, including but not limited to performance counselling, assignment of remedial modules, suspension of Program access, reassignment, extension of probation, initiation of a formal performance review, or termination of employment in accordance with applicable policies.
4. Access Rights:
• Access to each module and test is non-transferable and tied exclusively to your employee ID and device login credentials.
• Any attempt to provide proxy access or impersonate another user will result in immediate suspension from the Program and departmental inquiry.
5. Ownership of Content:
• All content used in the Program including text, presentations, videos, graphics, algorithms, test structures, explanatory models, flowcharts, and system-generated logic are the exclusive intellectual property of M/S. PRABA’S VCARE HEALTH CLINIC PVT. LTD.
• No right, title, or license is granted to any employee, directly or indirectly, except for limited use to the extent required for test clearance.
6. Consequences of Breach:
• Any breach of the above terms, whether by direct act or omission, shall constitute a major misconduct.
• The Company reserves the right to suspend or permanently revoke your Program access, impose penalties, withhold incentives, report conduct in your service record, or terminate your employment with prejudice.
• Legal action may be initiated under the Information Technology Act, 2000, the Bharatiya Nyaya Sanhita, 2023, and other applicable laws for data theft or breach of trust.
• Termination or Suspension from Program and Employment:
In the event of gross misconduct related to the Program such as data leakage, unauthorized access, tampering with test systems, misuse of training materials, or repeated failure to comply with Program requirements the Company reserves the unequivocal right to suspend the employee’s access to the Program with immediate effect, initiate disciplinary proceedings, and, where warranted, terminate employment without notice. Such action shall be taken following internal inquiry procedures and in accordance with applicable employment law and Company policy.
• Compensation for Damages:
If your actions result in reputational loss, financial harm, data compromise, or legal exposure for the Company, you shall be held personally and financially liable for compensatory damages. The Company reserves the right to recover such losses from your pending dues, enforce indemnity, and pursue civil recovery proceedings without prejudice to other remedies.
7. Amendments:
The Company reserves the right to update or revise these Terms and Conditions at any time, with or without notice. Your continued participation after such changes will constitute your acceptance of the revised terms.
